GENERAL TERMS AND CONDITIONS OF SALE

1. The products purchased on VERA TECH are sold directly by ELETTRO ITALIA SRL, a company incorporated under Italian law, with registered office in Via Nuova delle Brecce, 150 80147 Naples Italy.

Objective and scope
1.1.These general conditions of sale will apply to the sales operations of products and services between Vera Tech SLU (hereinafter, "Vera Tech") and its customers (hereinafter, "Customer")."Support"

1.6.The Customer cannot be considered, in any case, as a representative of Vera Tech and cannot act or commit on its behalf. The Client will act at all times on its own behalf and on its own behalf.

1.7.The Customer may use the trademark, trade name, logo, images and descriptions of the brands distributed by Vera Tech only for the promotion and advertising of Vera Tech products. The Customer has no rights to the trademarks, trade names, logos, images and descriptions and Vera Tech's rights in them will be retained at all times.

1.8.In the event that the conditions of sale are not satisfied, Vera Tech reserves the right to modify the Customer's purchase conditions.

2.Orders

2.1. Placing the order by the Customer implies full acceptance of the prices, specifications of the products on sale and these general conditions of sale.

2.2.All orders are subject to availability.

2.3.For the order to be considered effective, it is necessary to receive express acceptance from Vera Tech.

3.Price policy
3.1.The setting of the resale price allows us to provide the Vera Tech customer with a guaranteed minimum margin, in exchange for said professionals promoting the sale of our products, precisely because each unit sold provides them with a margin which, in principle, it is superior to other similar products, but for which there is no resale price.

3.2.All products will have a retail price (PVP), which the Customer will find in the "Products" section or in the tariffs and catalogs of our website, once they have started the session with their email account.

3.3.All online retailers will maintain the same retail price (PVP) of HYUNDAI, AIRSPACE and VESTA of CLIMAX brand products on all their websites or online sales.

3.4.All products are priced net according to the discount set by the Customer's sales representative and this is in the "Products" section of our website, once logged in with the online store account.

3.5.Prices will be updated regularly to maintain the most competitive prices on the market.

3.6.The prices indicated are prices without taxes which are always paid by the buyer.

3.7.Prices and specifications of Vera Tech products are subject to change without notice. References, specifications and prices are those indicated, typographical or printing errors excepted.

3.8.In the event that the Customer places an order for products with the incorrect price, Vera Tech will communicate the correct price and, in case of acceptance, the order will be placed, provided that the Customer expressly confirms it with the correct price. In case of non-acceptance of the new price, the Customer must return the material in perfect condition, otherwise the full price of the material will be invoiced.

3.9.The prices of estimates and orders will have a maximum duration of validity of 24 hours and may vary, upon notification to the customer, in the event of an error, variation of the estimate or agreement between Vera Tech and the Customer.

3.10.The prices of offers sent via newsletter will have the maximum term indicated therein.

3.11.Vera Tech will under no circumstances be liable for direct or indirect damages, loss of benefits or anticipated savings that may arise from the use of our equipment.

4. Billing and payment method
4.1.The customer can make payment by card, PayPal or bank transfer. In the case of a line of credit with Vera Tech, payment for the purchase will be made using the normal purchasing methods (direct debit, wire transfer, confirmation, bank check or cashier's check).

4.2.The customer must pay for the first order in cash. For subsequent orders, credit terms can be agreed with Vera Tech upon request to your sales representative.

4.3.The customer consents to Vera Tech sending their invoices via email to the billing address on the customer file. The Customer will also be able to access them through the "My invoices" section, once they have started the session with the online store account. The fact that the Customer does not receive the invoices via e-mail or ordinary mail does not exempt him from the obligation to pay.

4.4.In the event that direct debits are returned to the Customer's account, the bank charges incurred will be borne by the Customer. If necessary, Vera Tech may take legal action to recover all unpaid overdue debts from the customer, either directly or through the insurer.

4.5.In the event that the Customer is not up to date with the payment, he will lose all his warranty rights and the supply of material will be suspended, which will be reinstated when the Customer pays the amount due, as well as the return costs that would have been failed. Ownership of the products will not pass to the Customer until payment of the corresponding invoices has been made.

5.Shipping and transport
5.1.The material will be sent to the address indicated by the customer at the time of purchase. If the Customer does not indicate a shipping address, the one registered in our customer registration database will be used.

5.2.Delivery times will be approx., as a general rule, 24-48 working hours, depending on areas and countries and except for lack of stock. For more specific information on delivery times, the sales office will be consulted in advance. Vera Tech reserves the right to choose in any case the most appropriate transport agency to offer the best service to the Customer.

5.3.The periods indicated are of an estimated and non-binding nature. Vera Tech will use all means to deliver the products within the stipulated period. Delay in meeting deadlines will not give the Customer the right to request direct or indirect damages or compensation, to refuse the order or to suspend compliance with any obligation, in particular that of payment.

5.4.In Italy, shipping will be free for orders from online stores that exceed 900 euros net in their amount or for orders via email to their order manager that exceed 1500 euros net in their amount. For the rest of the areas and countries, this limit will vary, therefore the commercial department will be consulted in advance. The shipment of a prepaid order will also depend on the commercial agreement that has been reached between the Customer and Vera Tech.

5.5.For orders that do not exceed the previous amount and are sent via our transport agencies, an amount for transport will be included, depending on the volume, areas and countries.

5.6. Shipments made outside the European Union are managed under Exworks L'Hospitalet de Llobregat conditions. The customer outside the European Union must send the complete data of his customs agents to process the collection of the material in our facilities.

5.7.Any need in relation to the delivery of goods that does not fall within the normal system, such as urgent deliveries, deliveries by air, etc., will be borne by the Customer.

5.8.In case of failure to comply with the agreed delivery deadline, the compensation will consist of the return of the transport paid by the customer. Failure to comply with the delivery deadline is considered to be caused by the absence or change of address of the recipient, unknown recipient or address, non-payment of goods, supplies or refunds, closure for holidays, late delivery on the second delivery attempt, force of law major or fortuitous event or others not attributable to the transport company.
